The issued share capital of the company consists of 10,128,360 shares with a nominal value of DKK 10, equivalent to a total nominal share capital of DKK 101,283,600. The share capital consists of 920,760 A shares and 9,207,600 B shares. Each A share carries ten votes, and each B share carries one vote. It is expected that, in connection with the proposed merger of Chr. Hansen Holding A/S with ALK-Abelló A/S, the shares in Chr. Hansen Holding A/S will be exchanged to the effect that A shares and B shares of DKK 10 each in Chr. Hansen Holding A/S will be exchanged for a corresponding number of A shares and B shares of DKK 10 each in ALK-Abelló A/S.

It is expected that the B shares of ALK-Abelló A/S will be listed on the Copenhagen Stock Exchange under a new securities identification code immediately following the annual general meeting to be held on December 13, 2005.
